odictAI LLC — Terms & Conditions
These Terms govern your installation, access, and use of odictAI products and services (the "Services"). Please read them carefully. If you do not agree, do not use the Services.
Definitions
Account — your registration and associated credentials for the Services.
Customer / You — the person or entity using the Services.
Credits / Quota — paid or trial units that permit use of Services (token quotas, document analyses, etc.).
Combined Usage — for refund/eligibility purposes, the sum of (a) consumed usage credits and (b) document analyses counted during the relevant purchase period (see Refund Policy).
Enterprise Agreement — any separate contract, Statement of Work (SOW), or master services agreement between odictAI and an enterprise customer. Enterprise Agreements supersede conflicting provisions here.
Documentation — user guides, API docs, and other materials provided by odictAI.
Acceptance & Eligibility
You must be at least 18 years old and able to enter into legally binding contracts. By using the Services you represent that you have the right to accept these Terms on behalf of yourself or the entity you represent. If you do not agree with these Terms, do not install, access, or use the Services.
Services; Scope; Changes
odictAI provides real-time auditing, hallucination detection, source-trace verification, reporting, and related functionality for large language model outputs via browser extensions (Chrome, Safari, Edge, etc.), APIs for enterprise integration, dashboard, and other tooling.
We may modify, suspend, or discontinue features at any time. For material changes to pricing or refunds we will use commercially reasonable efforts to provide notice to account administrators.
Accounts, Credentials & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Immediately notify us of unauthorized use. We may suspend or terminate accounts that violate these Terms or are involved in abuse or fraud.
License & Use Restrictions
Subject to these Terms and payment of applicable fees, odictAI grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.
You will not:
- Reverse engineer or attempt to extract source code or training data;
- Bypass rate limits or usage controls;
- Use the Services to create competing products;
- Use the Services to process data in violation of law.
We retain all rights not expressly granted.
Payments, Credits & Billing
Services are billed as set forth on our website, pricing page, or Enterprise Agreement. Payments are processed via third-party processors (e.g., Stripe); you agree to pay applicable fees, taxes, and authorized charges.
Credits / Quota: Many features are consumed against credits or quotas. The number of credits per action and the conversion (tokens → credits, documents → credits) is published in Documentation and may change; changes will be posted in Documentation and, if material, notified to account holders.
Credit Expiration: Credits may expire as specified at purchase. If no expiration is specified, the default expiration period is twelve (12) months from the date of purchase unless otherwise set forth in an invoice or Enterprise Agreement.
Refund Policy (standard / individual customers)
This is odictAI’s standard refund approach for individual and non-enterprise purchases. Enterprise purchases and purchases through third-party marketplaces may be subject to different or no refunds; signed Enterprise Agreements control.
Key Concepts
- Combined Usage = credits consumed + number of document analyses.
- Full Refund = refund of purchase price (less third-party or payment fees where applicable) returned to original payment method.
- Partial Refund = pro-rated refund after subtracting the monetary value of consumed Combined Usage (as assessed by odictAI).
Eligibility Rules (standard tiers)
These thresholds are conservative, designed to provide trial access while limiting abuse. odictAI retains discretion to modify thresholds and refuse refunds for suspected abuse.

Partial refunds & pro-rations
If Combined Usage exceeds the applicable full-refund threshold but odictAI, in its discretion, allows a refund, the refund will be pro-rated by subtracting the assessed value of consumed credits / document analyses from the purchase price. Refunds do not apply to usage resulting from abuse, fraud, or violation of these Terms; nor do they apply where a third-party marketplace controls refunds.
Time window & request process
Refund requests under this standard policy should be submitted within 30 days of purchase to info@odict.ai with your order or invoice number and a short description. odictAI will review refunds and respond. Approved refunds are processed to the original payment method; processing timelines depend on payment processors and banks.
Anti-abuse & discretionary exceptions
odictAI reserves the right to deny or limit refunds if fraud, manipulation, or other abuse is detected. Patterns suggesting gaming the trial, bulk purchases with immediate heavy usage, or automated depletions may be investigated and declined. Enterprise customers follow the terms in their signed agreements.
Trials & Free Tiers
Trial accounts and free credits are subject to limits and may be revoked for abuse. Trial availability, duration, and quota are published on our site and may vary. Trial usage that exceeds published thresholds may be billed or ineligible for refunds.
Enterprise Agreements & Addenda
Enterprise Agreements, SOWs, or other signed written contracts between odictAI and a Customer control the parties' rights and obligations and take precedence over conflicting provisions in these Terms. Enterprise Agreements may include custom SLAs, refunds, audit obligations, data residency, and indemnities.
Third-Party Stores & Distribution
The browser extension may be distributed through third-party stores (e.g., Chrome Web Store, Apple Safari Gallery). Those stores may impose additional terms and handle distribution, updates, and refunds according to their policies. We are not responsible for the stores' actions or policies.
Privacy, Data Processing & Security
Local + Server Processing: The odictAI browser extension performs many analyses locally to minimize data transfer and latency. However, the extension and other features may transmit user content, excerpts, metadata, or derived artifacts to odictAI servers and authorized subprocessors for advanced analysis, provenance lookups, audit reporting, storage, feature enablement, or optional cloud features. The exact data transmitted depends on selected options and plan features.
No Sale of Personal Data: We do not sell personal data to third parties.
Data Retention & Deletion: Data retention periods depend on plan and configuration. Customers may request deletion subject to legal/regulatory obligations and backups. Enterprise retention and deletion obligations may be specified in Enterprise Agreements.
Security & Compliance: odictAI implements recognized security practices (encryption in transit and at rest where applicable) and aligns with common control frameworks (SOC-2 principles). We will not represent a formal certification unless we in fact hold it. If you require formal attestations or a Business Associate Agreement (BAA) for HIPAA, contact legal@odict.ai.

Compliance; No Legal / Medical Advice
odictAI's analyses are automated and designed to identify likely inaccuracies or provide evidence chains. The Services do not constitute legal, medical, financial, or other professional advice. Customers are responsible for confirming compliance with laws and regulations relevant to their industry and jurisdiction.
odictAI does not guarantee regulatory compliance of outputs. For highly regulated domains (healthcare, finance, education), Customers should require appropriate contractual and technical controls.
Intellectual Property
odictAI retains all right, title, and interest in the Services, software, models, Documentation, and related IP. Customers retain ownership of their input data and content submitted for analysis, subject to the license granted to odictAI to operate the Services (processing, retention, and improvement as described in the Privacy Policy).
If you provide feedback, suggestions, or improvements, you grant odictAI an irrevocable, royalty-free license to use such feedback.
Acceptable Use & Prohibited Conduct
You must not use the Services to: (a) infringe IP or privacy rights; (b) generate disallowed content (illegal content, targeted harassment, malware); (c) train competing models with our outputs or reverse engineer our models; (d) attempt to circumvent quota/credit controls. odictAI may suspend access for violations.
Warranty Disclaimer & Limitation of Liability
Warranty Disclaimer: The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. odictAI expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Services will be error-free or that analysis will detect all inaccuracies in model outputs.
Limitation of Liability: To the maximum extent permitted by law, odictAI’s aggregate liability for any claim relating to the Services will not exceed the amount paid by you to odictAI in the twelve (12) months prior to the claim (or $100 if you have not paid us). In no event will odictAI be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, loss of data, or business interruption, even if advised of the possibility of such damages. Some jurisdictions do not allow limitation of liability; where prohibited, these limits may not apply.
Indemnification
You will indemnify and hold odictAI harmless from third-party claims arising from your use of the Services in violation of these Terms, your content, or your breach of representations.
Termination & Suspension
You may terminate your account any time by contacting support. odictAI may suspend or terminate access for violations, suspected fraud, non-payment, or legal reasons. Termination does not relieve you of unpaid fees or liabilities incurred prior to termination. Upon termination, we may delete or anonymize your data in accordance with our Privacy Policy and any Enterprise Agreement.
Changes to Terms
We may change these Terms from time to time. Material changes will be posted and, where practical, notified to account administrators. Continued use after the changes constitutes acceptance. Enterprise customers: changes are subject to the Enterprise Agreement.
Export Controls & Sanctions
You will not use the Services in violation of applicable export control or sanctions laws. odictAI may refuse access consistent with legal obligations.
Governing Law & Dispute Resolution
Because odictAI LLC is currently registered in the State of New Mexico, these Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to conflict-of-law principles, and disputes shall be adjudicated in the state or federal courts located in New Mexico, unless a signed Enterprise Agreement specifies otherwise.
If odictAI changes its legal domicile or principal place of business (for example, to Delaware), odictAI may update these Terms and future agreements may reflect the new governing jurisdiction. Enterprise Agreements may choose an alternative governing law in writing.
Compatibility, Pre-Dispute Notification & Support
If you experience compatibility issues (for example: the extension does not work in your browser, unexpected errors, integration failures, or features are not functioning as expected), before initiating any dispute, chargeback, or formal claim you must first contact odictAI at info@odict.ai and provide:
- Your account email and order/invoice number (if applicable);
- A detailed description of the issue, including browser name/version, OS, screenshots or screen recordings (if available), and steps to reproduce;
- Date/time of occurrence and any relevant logs or error messages.
odictAI will acknowledge receipt and use commercially reasonable efforts to investigate and, if feasible, remediate the issue. For most compatibility issues we request up to 30 days to diagnose and propose a remediation or workaround.

Entire Agreement; Severability
These Terms (together with the Privacy Policy and any Enterprise Agreement) constitute the entire agreement and supersede prior agreements. If any provision is found unenforceable, the remainder remains in force.
Additional Provisions (recommended)
- SLA & Uptime: If offering SLAs, include explicit uptime targets, credits for downtime, monitoring windows, and scheduled maintenance windows.
- Data Residency & Encryption: For enterprise/regulatory customers, offer addenda specifying data residency (e.g., U.S.-only), encryption at rest/in transit, and audit rights.
- Business Associate Agreement (BAA): If offering HIPAA-subject services, include a BAA template or offer to execute a BAA only if odictAI actually signs one. Don't claim HIPAA compliance unless prepared to sign a BAA and meet requirements.
- SOC-2 / ISO Statements: Only state that you are "aligned with" best practices unless a formal attestation exists; if attested, reference the cert and provide a location for the certificate.
